Terms of Service for Addressed

1. Acceptance of Terms


By installing, accessing, or using Addressed (the "App"), you ("Merchant", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.


These Terms constitute a legally binding agreement between you and the developer of Addressed ("we", "us", or "our").


2. Description of Service


Addressed is a Shopify application that:

  • Detects incomplete shipping addresses in customer orders
  • Sends automated email requests to customers for address corrections
  • Provides a secure customer-facing form for address completion
  • Automatically updates Shopify orders with corrected addresses
  • Tracks address correction request status

  • 3. Eligibility


    To use the App, you must:

  • Be at least 18 years old
  • Have a valid Shopify store account
  • Have the authority to bind your business to these Terms
  • Comply with all applicable laws and regulations

  • 4. Account and Installation


    4.1 Shopify Account Required

    The App requires a Shopify store and is accessed through the Shopify Admin. You are responsible for:

  • Maintaining the security of your Shopify account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

  • 4.2 OAuth Authorization

    By installing the App, you authorize us to:

  • Access your Shopify store data as described in our Privacy Policy
  • Read customer and order information (Protected Customer Data Level 2)
  • Update shipping addresses on orders
  • Add tags to orders for tracking purposes

  • 5. Subscription and Billing


    5.1 Pricing Plans

    The App operates under Shopify's Managed Pricing system. Pricing details are displayed during installation and in your Shopify admin billing section.


    5.2 Payment Terms

  • Billing is processed through Shopify's billing system
  • Subscriptions renew automatically unless cancelled
  • All fees are non-refundable except as required by law
  • Price changes will be communicated 30 days in advance

  • 5.3 Free Trial

    New installations may receive a free trial period:

  • Trial length is displayed during subscription selection
  • Trial days are tracked across all installations (180-day window)
  • Shopify prevents trial gaming through automatic proration
  • Service continues without interruption after trial

  • 5.4 Cancellation

    You may cancel your subscription at any time through:

  • Shopify Admin → Apps → Addressed → Settings
  • Or by uninstalling the App

  • Cancellation takes effect at the end of the current billing period.


    6. Merchant Responsibilities


    6.1 Customer Data and Consent

    You are solely responsible for:

  • Obtaining necessary consents from customers to share their data
  • Complying with data protection laws (GDPR, CCPA, etc.) in your jurisdiction
  • Informing customers about the address correction process
  • Maintaining your own privacy policy and terms

  • 6.2 Lawful Use

    You agree to:

  • Use the App only for legitimate address correction purposes
  • Not use the App to spam or harass customers
  • Comply with anti-spam laws (CAN-SPAM, CASL, etc.)
  • Not send unsolicited marketing through the App

  • 6.3 Email Templates

    If you customize email templates, you agree to:

  • Use professional and accurate language
  • Not include misleading or deceptive content
  • Comply with email marketing regulations
  • Maintain email deliverability best practices

  • 7. Prohibited Uses


    You may not:

  • Use the App for illegal purposes or to violate any laws
  • Attempt to reverse engineer, decompile, or hack the App
  • Share your account credentials with unauthorized parties
  • Use the App to collect customer data for unrelated purposes
  • Interfere with or disrupt the App's operation
  • Violate Shopify's Terms of Service or Acceptable Use Policy

  • 8. Intellectual Property


    8.1 Ownership

    The App, including all code, design, features, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws.


    8.2 License

    We grant you a limited, non-exclusive, non-transferable, revocable license to use the App in accordance with these Terms.


    8.3 Trademarks

    "Addressed" and related logos are our trademarks. You may not use them without our written permission.


    9. Data and Privacy


    9.1 Privacy Policy

    Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.


    9.2 Data Ownership

    You retain ownership of all customer data. We process it solely to provide the App's functionality.


    9.3 Data Deletion

    Upon app uninstallation, we will:

  • Stop processing new data immediately
  • Delete all stored data within 30 days
  • Provide data export upon request (if requested within 30 days)

  • 10. Service Availability and Support


    10.1 Uptime

    We strive to maintain 99%+ uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.


    10.2 Support

    We provide support via email. Support contact information is available in your Shopify admin under the app listing and on our website.


    10.3 Updates

    We may update the App periodically to:

  • Add new features
  • Fix bugs and improve performance
  • Comply with Shopify API changes
  • Enhance security

  • Material changes will be communicated via email.


    11. Limitations of Liability


    11.1 As-Is Service

    THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


    11.2 Limitation of Damages

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
  • WE ARE NOT LIABLE FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION

  • 11.3 Exceptions

    Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such cases, our liability is limited to the maximum extent permitted by law.


    12. Indemnification


    You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Customer data you provide to the App

  • 13. Third-Party Services


    13.1 Shopify

    The App integrates with Shopify's platform. Your use is also subject to Shopify's Terms of Service.


    13.2 Email Service Provider

    We use Resend to send emails on your behalf. Email delivery is subject to Resend's terms and service availability.


    14. Termination


    14.1 By You

    You may terminate by:

  • Uninstalling the App from your Shopify store
  • Cancelling your subscription

  • 14.2 By Us

    We may terminate or suspend your access immediately if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Fail to pay subscription fees
  • Use the App in a way that harms our service or reputation

  • 14.3 Effect of Termination

    Upon termination:

  • Your access to the App ceases immediately
  • All data will be deleted within 30 days
  • You remain liable for any outstanding fees
  • Sections that should survive termination (limitations of liability, indemnification, etc.) remain in effect

  • 15. Changes to Terms


    We may modify these Terms at any time by:

  • Posting updated Terms with a new "Last Updated" date
  • Notifying you via email for material changes
  • Requiring acceptance for significant changes

  • Continued use after changes constitutes acceptance.


    16. Governing Law and Disputes


    16.1 Governing Law

    These Terms are governed by the laws applicable in your jurisdiction without regard to conflict of law principles.


    16.2 Dispute Resolution

    Disputes will be resolved through:

    1. Good faith negotiation

    2. Mediation (if negotiation fails)

    3. Binding arbitration or small claims court


    16.3 Class Action Waiver

    You agree to resolve disputes individually and waive the right to participate in class actions.


    17. General Provisions


    17.1 Entire Agreement

    These Terms and the Privacy Policy constitute the entire agreement between you and us.


    17.2 Severability

    If any provision is found unenforceable, the remaining provisions remain in effect.


    17.3 No Waiver

    Our failure to enforce any right or provision does not constitute a waiver.


    17.4 Assignment

    You may not assign these Terms. We may assign them with notice to you.


    17.5 Force Majeure

    We are not liable for delays or failures due to circumstances beyond our reasonable control.
